Dear Valued Stakeholders,
I am reaching out about the indictment unsealed by the U.S. Attorney’s Office for the Southern District of New York. The charges address the conduct of three individuals associated with Supermicro related to alleged export-control violations.
Supermicro is NOT named as a defendant in the indictment.
I am deeply saddened and shocked that actions of these individuals were placed above our mission and our responsibility to national security. It appears that Supermicro has been a victim of the elaborate schemes orchestrated by these individuals, which deceived both federal authorities and our internal compliance team.
We have taken action against all identified employees and those parties no longer have any relationship with Supermicro. Mr. Wally Liaw has also resigned from the Company’s board of directors. The conduct alleged in the indictment is a contravention of Supermicro’s policies and compliance controls. We maintain a robust compliance program and are committed to full adherence to all applicable U.S. export and re-export control laws and regulations. We continue to support and fully cooperate with the government investigation. We are currently implementing even more rigorous oversight to further enhance our export control system and ensure that our technology is handled with the highest level of ethical and legal scrutiny. In addition, we have promoted Deanna Luna to be our new acting Chief Compliance Officer.
This has no impact on our business operations. Our focus remains on delivering high-performance and reliable solutions, driving first-to-market innovation and supporting our customers’ infrastructure needs with the quality and service they depend on from Supermicro. 本件は、弊社に所属していた個人3名による輸出管理法違反の疑いに関するものであり、弊社（Super Micro Computer, Inc.）は当該起訴においては、該当しておりません。
当該3名の行為は、弊社の企業理念およびコンプライアンス規程に明確に反するもので、速やかに従業員2名を職務停止処分とし、契約社員1名との契約を解除いたしました。また、その中の1名、Wally Liaw は弊社取締役を辞任するとともに、弊社における一切の職務から離れております。
弊社は、これまでも厳格なコンプライアンス体制を整備・運用しており、米国の輸出および再輸出管理に関するすべての適用法令・規制の遵守を徹底しております。今後も当該体制の一層の強化を図るとともに、関係当局による調査に対し全面的に協力してまいります。
なお、本件が弊社の事業運営に与える影響はなく、製品およびサービスの提供は従来どおり継続いたします。今後とも高性能かつ信頼性の高いソリューションの提供を通じ、社会インフラを支える企業として、引き続き責任を果たしてまいります。
